| Strategic Acquisition of Xycom Automation Holdings, Inc. |

Osaka, Japan, January 16, 2001, - Digital Electronics Corporation, hereafter referred as Digital, announced that its North American subsidiary, Pro-face America, Inc., hereafter referred as Pro-face America, had agreed and signed on strategic acquisition of Xycom Automation Holdings, Inc., Michigan, U.S.A., hereafter referred as Xycom Automation, a market leader of Industrial PCs and PC-based control products. The acquisition is expected to close in the middle of February, 2001.
From this acquisition of Xycom Automation with 9.7% of market share in the North American panel-mounted Industrial PC market, researched by Xycom Automation, the Digital group aims to establish its sales network and a solid presence in North America as well as to lead the global IPC market. Also, with Xycom's European sales network in U.K. and Italy, Digital is strengthening the sales network of IPC products in the European market.
As a leading supplier of the programmable operator interface products worldwide and a top-share supplier of the industrial PC products in Japan, Digital has built a position as one of the global top companies of human machine interface, HMI and MMI, products.
Digital is a leading manufacturer of the programmable operator interface products around the world, with 45% of Japanese market. Also, with the Windows-based panel-mounted industrial PC products operated in the automation fields, Digital is boasted with its Japanese market share of 39%. (from a research investigated by Fuji Keizai Co., Ltd., 1999) International sales of operator interface products at Digital is approximately 30% of its total in 2000.
Since Digital's first release of the programmable operator interfaces in Japan 15 years ago, the market size in Japan has grown to over JPY 25,000,000,000. Digital has, also, sold the products to the international market since the mid 90's.
For international business, Digital has established its subsidiary, Pro-face America, in Glendale Heights, IL, U.S.A. in 1999, while having supplied OEM products to GE Fanuc Automation North America, Inc.
In Europe, to strengthen local sales forces of Pro-face HMI B.V., The Netherlands, Digital acquired Ci-intersys to establish Pro-face Deutschland in Germany in June, 2000. Also, Pro-face France and Pro-face Italy were opened as sales offices of Pro-face HMI.
In Asia, Digital's subsidiaries of Pro-face Korea Co., Ltd. and Pro-face Taiwan Co., Ltd. work in the local markets for the sales and support activities.
